1. About this service

Invoice Genie (the "Service") is an invoice builder and checker operated by Market Vendr Limited ("we", "us", "our"). The Service helps users draft commercial and customs invoices and surfaces reference data such as commodity codes, excise codes and preference / origin guidance drawn from public sources including the UK Trade Tariff.

2. Your responsibility for all data (important)

You are solely responsible for every piece of information you enter, select, import, accept or export using the Service. This includes but is not limited to: exporter and importer details, addresses, EORI / VAT / REX numbers, HS / commodity codes, values, currencies, weights, quantities, ABV, country of origin, preference statements, excise codes and any supporting document references.

You must independently check, verify and approve every field before saving, sharing, printing, submitting or otherwise relying on any output of the Service. You are the declarant / exporter of record for any invoice or customs document you produce using the Service.

3. Not professional advice

Output from the Service is informational only and does not constitute customs, tax, legal, regulatory or professional advice. You must consult HMRC, a licensed customs broker, a solicitor or another appropriately qualified adviser where your circumstances require professional guidance.

4. Third-party reference data

The Service may look up or display information from third-party sources including the UK Trade Tariff API and other public data feeds. We do not control these sources. The information they return may be incomplete, outdated, incorrect or misinterpreted. No warranty, representation or guarantee is given as to the accuracy, completeness, currency, reliability or fitness for purpose of any such data.

5. Limitation of liability

To the fullest extent permitted by law, Market Vendr Limited, its directors, officers, employees and contractors shall not be liable for any loss or damage — whether direct, indirect, incidental, special, consequential, punitive or exemplary — arising out of or in connection with your use of, or inability to use, the Service. This includes without limitation: customs penalties or fines; delayed, detained, seized or destroyed goods; duty, VAT or excise reassessments; loss of profits, revenue, business, goodwill or reputation; and loss or corruption of data.

Our total aggregate liability arising out of or in connection with the Service in any twelve-month period is limited to the fees actually paid by you to us for the Service in that period, or £100, whichever is greater. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

6. Acceptable use

You agree not to use the Service to:

• produce fraudulent, misleading or unlawful invoices or customs documents;
• misrepresent the value, origin, classification or nature of any goods;
• infringe any applicable law, sanction, embargo or export control;
• attempt to reverse engineer, decompile, scrape, resell or sublicence the Service;
• disrupt, overload or interfere with the Service or its supporting infrastructure.

7. Intellectual property

All rights, title and interest in and to the Service — including the name "Invoice Genie", all logos, branding, source code, user interface, layouts, wording, documentation, tariff mapping logic, prompts and underlying know-how — are and remain the exclusive property of Market Vendr Limited. All rights are reserved. You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these terms. You retain ownership of the invoice data you enter.

8. Data and privacy

The Service may store draft invoice data locally in your browser and/or in our secure backend to provide the features you request. Details of what we collect and how we use it will be set out in our Privacy Policy. Do not enter personal data of third parties you are not authorised to process.

9. Availability

The Service is provided on an "as is" and "as available" basis. We may modify, suspend or withdraw the Service, or any feature of it, at any time without notice.

10. Changes to these terms

We may update these terms from time to time. If we make material changes we may require you to re-accept the updated terms before continuing to use the Service. Your continued use after re-acceptance constitutes agreement to the updated terms.

11. Governing law and jurisdiction

These terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
